Acceptance of Terms

By accessing or using the SellCut platform ("the Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legally binding agreement between you ("User," "you") and SellCut ("we," "us," "our").

Eligibility

To use the Platform, you must be at least 18 years old or have the legal capacity to enter into a binding agreement. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Registration

To access certain features of the Platform, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must provide a valid email address and other required information.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You may not create multiple accounts for the purpose of circumventing fees or restrictions.

Seller Obligations

Sellers using the Platform to sell products or services agree to the following obligations:

• All products and services listed must be legal, compliant with applicable laws, and not infringe on third-party rights.
• Sellers are responsible for the accuracy of product descriptions, pricing, and availability.
• You must fulfill orders promptly and provide customer support to buyers.
• You are responsible for shipping physical products and providing tracking information.
• You must comply with all applicable tax laws and regulations.

Buyer Obligations

Buyers using the Platform agree to the following obligations:

• You must provide accurate payment and shipping information.
• You are responsible for reviewing product descriptions before making a purchase.
• You agree to pay all fees and charges associated with your purchases.
• You will not attempt to circumvent payment processing or commit fraud.
• You agree to resolve any disputes with sellers in good faith.

Payment & Fees

SellCut charges fees for certain services and transactions. By using the Platform, you agree to pay all fees associated with your account.

• All fees are displayed in your local currency or the currency selected for your store.
• Fees are non-refundable unless otherwise specified.
• We reserve the right to change our fee structure with 30 days' notice.
• You are responsible for all taxes associated with your transactions.
• Payment processing is handled through our trusted payment partners (Stripe, PayPal, etc.).

Intellectual Property

All content on the Platform, including text, graphics, logos, icons, images, and software, is the property of SellCut or its content suppliers and is protected by intellectual property laws.

• You retain ownership of your content (products, course materials, etc.).
• By uploading content, you grant us a license to host and display it on the Platform.
• You may not reproduce, distribute, or create derivative works from our content without permission.
• The SellCut name, logo, and branding are our trademarks and may not be used without authorization.

Prohibited Conduct

You agree not to use the Platform for any of the following prohibited activities:

• Illegal activities or promoting illegal products or services.
• Fraud, deception, or misrepresentation.
• Harassment, threats, or abuse of other users.
• Uploading malicious code or attempting to compromise the Platform's security.
• Spamming or sending unsolicited communications.
• Violating any applicable laws or regulations.
• Interfering with or disrupting the Platform's functionality.

Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms. Upon termination:

• Your access to the Platform will be immediately revoked.
• Any pending transactions may be cancelled or completed at our discretion.
• You may be required to fulfill any outstanding obligations to buyers.
• Your content may be removed from the Platform.

You may also terminate your account at any time by contacting our support team. Any fees paid are non-refundable.

Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Platform will meet your requirements or expectations.
• The Platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Platform will be accurate or reliable.
• Any errors in the Platform will be corrected.

Limitation of Liability

To the maximum extent permitted by law, SellCut shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities.
• Loss of data or content.
• Loss of goodwill or reputation.
• Any damages arising from your use of the Platform.

Our total liability shall not exceed the total fees paid by you to SellCut in the 12 months preceding the claim.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

If you are accessing the Platform from outside Nigeria, you are responsible for complying with your local laws and regulations.

Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of significant changes by:

• Posting the updated Terms on the Platform.
• Sending an email notification to your registered email address.
• Displaying a notice on the Platform.

Your continued use of the Platform after changes constitutes your acceptance of the updated Terms.
